The mandate of the audit committee is to assist the Board of Directors in its supervisory responsibilities by ensuring the reliability of accounting systems, the integrity of internal audits, and the quality of the financial information produced. It reviews the risk management policy, oversees the appointment and compensation of the external auditor, and the effectiveness of audit mechanisms. The committee also reviews the annual budget, long-term financial projections, and the impact of major investment projects, while ensuring compliance with laws and regulations.
The mandate of the sustainable development committee is to support the Board of Directors and management in their responsibilities with respect to the environment, sustainable development, the energy transition, community relations, and occupational health and safety. It makes recommendations on priorities related to sustainable development, port territory management, environmental projects, and risk management. The committee also oversees the implementation of the ESGSD (environmental, social, governance and sustainable development) action plan, the management of community relations, and continuous improvement initiatives.
The mandate of the governance, talent and culture committee is to support the Board of Directors and management in fulfilling their governance and human resources responsibilities. It makes recommendations regarding the application of the code of ethics, the compensation of board members and directors, the process for appointing board members, and governance management. The committee also monitors executive succession planning, oversees the staffing of the President and CEO position, and promotes an organizational culture based on the values of the Port of Québec and equity, diversity, and inclusion initiatives. It also assesses governance risks and proposes strategies to address them.
